Terms of Service

These Terms of Service ("Terms") govern your use of the Opsly platform operated by Opsly ("we", "us") at opsly.ie. By using the service you agree to these Terms.
1. Service description
Opsly is a software-as-a-service platform for clinics. It provides an AI-assisted booking widget, unified inbox (SMS / web chat / email), Google Calendar sync, automated reminders and recalls, and weekly performance reports.
2. Account & access
Accounts are issued by invitation. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify us of any unauthorised use.
3. Subscription terms
Access to Opsly is provided on a subscription basis as set out in the order form or invoice agreed with the customer. Subscriptions renew automatically unless cancelled in writing before the renewal date. Fees are non-refundable except where required by law.
4. Client responsibilities
- You must have a lawful basis to upload patient data and to send SMS/email communications.
- You are responsible for the accuracy of business information, business hours, FAQs and the AI assistant's system prompt.
- You must obtain patient consent where required by law (e.g. marketing messages).
- You must keep the connected Google Calendar, Twilio and email accounts in good standing.
5. Acceptable use
You will not use Opsly to send unsolicited marketing, to process data unrelated to your clinic operations, to attempt to compromise the security of the platform, or to violate applicable law.
6. Data processing
We process personal data on your behalf as a data processor in line with our Privacy Policy and any executed Data Processing Agreement.
7. Service availability
We aim to keep Opsly available 24/7 but do not guarantee uninterrupted service. Scheduled maintenance and unplanned outages may occur. Third-party integrations (Google, Twilio, email providers) are outside our direct control.
8. Limitation of liability
To the maximum extent permitted by law, Opsly's total liability for any claim arising out of or in connection with the service is limited to the fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential or punitive damages, including lost profits or lost data. Nothing in these Terms excludes liability that cannot be excluded under Irish law.
9. Termination
Either party may terminate the subscription for material breach not remedied within 30 days of written notice. On termination we will provide a reasonable export of your data and then delete it within 30 days, subject to legal retention obligations.
10. Changes to the service or terms
We may update the service and these Terms from time to time. Material changes will be notified to account owners by email. Continued use after notification constitutes acceptance.
11. Governing law and jurisdiction
These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
